Terms of Service

These Terms of Service ("Terms") are a binding agreement between TKH Global Group, Singapore ("appsg.ai", "we", "us") and the organisation that registers for or uses the appsg.ai platform ("Customer", "you"). By creating an account, clicking to accept, or using the Service, you agree to these Terms on behalf of your organisation and confirm you are authorised to do so.

1. The Service

appsg.ai is a multi-tenant platform that enables Customers to build AI agents grounded in their own knowledge base and to deploy those agents across channels including WhatsApp, Telegram, email and a web widget. The agents generate responses using third-party AI models (Anthropic Claude, OpenAI and Google Gemini). Features available to you depend on your subscription plan, as described on our pricing page.

2. Accounts and your responsibilities

• You must provide accurate registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of account credentials and for all activity under your account and workspace users.
• You are responsible for the AI agents you configure, the knowledge-base content you upload, and the channels you connect, and for ensuring your use complies with applicable law.
• You must notify us promptly of any unauthorised access or suspected security breach.

3. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. Prohibited activities include unlawful content, sending unsolicited marketing without consent, harassment, infringing others' rights, and attempting to compromise the security or isolation of the platform or other tenants.

4. Subscriptions, trials and billing

• Currency and GST. Fees are charged in Singapore Dollars (SGD) and are stated inclusive of 9% GST unless otherwise indicated.
• Free trial. Paid plans begin with a free trial. To start a trial you provide a payment card, which is held on file. Unless you cancel before the trial ends, the subscription automatically converts to a paid plan and we charge the card on file.
• Recurring billing. Subscriptions renew automatically on a monthly (or, where selected, annual) basis and the card on file is charged at the start of each billing period until cancelled.
• Payments. Payments are processed by Stripe. You authorise us and Stripe to charge your card for all applicable fees.
• Cancellation. You may cancel at any time before the next renewal; cancellation takes effect at the end of the current billing period. See our Refund & Cancellation Policy.
• Changes to fees. We may change fees on reasonable prior notice, effective from your next billing period.

5. Data protection and roles

For personal data of your end-customers that is processed through the Service, you are the data controller and appsg.ai is the data processor acting on your instructions. Our processing obligations are set out in our Data Processing Addendum, which forms part of these Terms. Our handling of personal data generally is described in our Privacy Policy.

You acknowledge that, to generate agent responses, content you and your end-customers submit is transmitted to third-party AI providers located in the United States for processing, as described in the Privacy Policy and DPA. You are responsible for obtaining any consents and providing any notices required for that processing under the PDPA.

7. Intellectual property

We and our licensors own all rights in the Service, including its software, design and trademarks. You retain all rights in your knowledge-base content and end-customer data. You grant us a limited licence to host, process and transmit that content solely to provide and support the Service. Subject to the AI providers' terms, content you submit through the Service is not used to train their models.

8. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free or secure. Nothing in these Terms excludes rights that cannot be excluded under Singapore law, including the Consumer Protection (Fair Trading) Act where it applies.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or related to the Service will not exceed the total fees paid by you to us for the Service in the twelve (12) months preceding the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law.

10. Term, suspension and termination

These Terms apply while you use the Service. We may suspend or terminate access for breach of these Terms or the Acceptable Use Policy, non-payment, or where required to protect the Service or other users. You may stop using the Service and cancel your subscription at any time. On termination, provisions that by their nature should survive (including data protection, IP, disclaimers, liability and governing law) will survive. Return and deletion of data on termination are addressed in the DPA and Refund & Cancellation Policy.

11. Governing law

These Terms are governed by the laws of Singapore, and the parties submit to the exclusive jurisdiction of the courts of Singapore, without regard to conflict-of-laws rules.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
